End user license agreement

Effective July 24, 2026

This End User License Agreement (“Agreement”) is between you and Rui Wang (王瑞), trading as Sunny Warrior Studio, an individual software licensor based in Shanghai, China (“Licensor”), and governs BigdataSight Direct. By downloading, installing, activating, or using BigdataSight Direct, you agree to this Agreement.

This Agreement does not govern the Mac App Store edition. That edition is licensed under the Apple Standard EULA unless a different agreement is shown in the App Store.

1. License grant

Subject to this Agreement, Licensor grants you a personal, limited, non-exclusive, non-transferable license to install and use BigdataSight Direct for lawful personal or internal business purposes. Viewer may be used without charge. A valid Direct Pro purchase grants one user a permanent Pro license for the current BigdataSight product and updates to that product made generally available without an additional charge, unless the license ends under this Agreement.

2. Devices and activation

One Direct Pro license may be active on up to two Macs used by the same user. Initial activation and activating, replacing, or restoring a device require an internet connection. You may deactivate a Mac before activating another one. You must keep the license key confidential and must not publish, share, sell, or use it for more users or devices than this Agreement allows.

The license service may perform occasional entitlement checks, including checks needed to apply refunds and payment dispute outcomes. Temporary failure of that service will not intentionally disable a locally valid entitlement. Attempts to bypass activation or entitlement controls are a material breach of this Agreement.

You retain ownership of your files, queries, results, and exports. You are responsible for having permission to access and process the data and remote services you configure, safeguarding credentials, maintaining backups, and checking results before relying on them. BigdataSight is a technical tool and does not provide professional, legal, financial, or compliance advice.

5. Ownership and third-party components

BigdataSight is licensed, not sold. Licensor and the relevant licensors retain all right, title, and interest in the software, documentation, branding, and updates. Components distributed under open-source or third-party licenses remain subject to their applicable notices and licenses; those terms govern only those components.

6. Updates and compatibility

The permanent license covers the current BigdataSight product and its generally available updates, but does not promise any specific future capability, release schedule, support duration, compatibility with every future macOS or third-party service change, or continued operation of a third-party service. A distinct future successor product or separately offered service may require another purchase.

7. Refunds, reversals, and revocation

Direct refunds are governed by the Refund Policy. An approved full refund, completed chargeback, or other completed payment reversal may suspend or revoke the corresponding Pro entitlement. If a payment dispute is reversed and no other revocation basis remains, the entitlement may be restored. Revocation does not delete your local data, but paid capabilities become unavailable.

8. Termination

This Agreement remains in effect until terminated. Your license ends if you materially breach this Agreement and do not remedy a remediable breach after reasonable notice, where notice is appropriate or required by law. It may end immediately for fraud, unlawful use, intentional circumvention, or unauthorized distribution. On termination, you must stop using paid capabilities and remove copies that you are no longer entitled to use. Provisions that by their nature should survive termination, including ownership, liability, and dispute terms, will survive.

9. Warranties

To the maximum extent permitted by law, BigdataSight is provided “as is” and “as available.” Licensor does not warrant that it will be uninterrupted, error-free, or suitable for every dataset, workflow, or purpose. Nothing in this Agreement excludes a warranty, conformity obligation, refund, repair, replacement, or other consumer right that cannot lawfully be excluded.

10. Limitation of liability

To the maximum extent permitted by law, Licensor is not liable for indirect, incidental, special, consequential, or business losses, including loss of profit, opportunity, or data. Licensor's total liability arising from a paid Direct license will not exceed the amount paid for that license. These limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury where liability cannot be limited, or any other liability that applicable law does not permit Licensor to limit.

11. Governing law and disputes

This Agreement is governed by the laws of mainland China, without regard to conflict of laws rules. If you are a consumer, this choice does not deprive you of mandatory protections under the law of your habitual residence. Consumers may bring a claim in their local courts where mandatory law permits. Otherwise, the courts with jurisdiction in Shanghai, China have jurisdiction; for business users, that jurisdiction is exclusive to the extent permitted by law.

12. General

This Agreement and the policies it incorporates are the entire agreement about the Direct software license. If any provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue. Failure to enforce a provision is not a waiver. You may not transfer this Agreement without Licensor's written consent, except where applicable law gives you a non-waivable transfer right.
